Representative Transactions:

• Acting as counsel for lender in connection with a variety of loan transactions (i.e. operating loans, receivable and inventory loans, term loans, construction loans, acquisition loans, leasing loans, restructuring loans, mezzanine loans, equity loans, foreign currency loans, documentary credits, etc.);
  
• Representing lenders with respect to loan transactions involving a variety of structures (i.e. joint ventures, co-ventures, limited partnerships, offshore entities, trusts, nominee held assets, etc.);
  
• Representing lenders in syndicated and participation loans;
  
• Extensive experience acting for lenders regarding NHA/CMHC financing;
  
• Providing advice to clients on all aspects of the Personal Property Security Act (British Columbia), Bank Act (Canada), Strata Property Act (British Columbia), Real Estate Act (British Columbia), Land Title Act (British Columbia), Business Practices and Consumer Protection Act (British Columbia) and other legislation relating to commercial lending and real estate matters;
  
• Financing transactions for lenders and borrowers in respect of junior mining projects in Mexico, Chile, Nicaragua, the Yukon, Manitoba, British Columbia, Saskatchewan, Ontario, Cote d'Ivoire and Burkina Faso.
  
• Acting for borrowers and lenders in all types of loan transactions/credit facilities from simple mortgage transactions to complex corporate financing matters.
  
• Advising lenders, debtors, receivers, trustees and other parties in connection with insolvency matters and the workout and restructuring of existing debt.
  
• Acting on behalf of lenders involved in syndicated loan transactions.
  
• Lender counsel in regard to the issuance of secured bonds.
  
• Lender counsel in connection with financings involving hotels, residential and commercial developments, resort properties (including ski resorts throughout North America), native lands, leasehold lands, shopping centres, office buildings, industrial properties and the radio and telecommunications industry.
  
• $46,000,000 syndicated financing of mixed-use strata-titled development and private business club in downtown Vancouver (lender counsel).
  
• $65,000,000 financing of shopping centre in Victoria (borrower counsel).
  
• $125,000,000 financing of downtown Vancouver commercial/residential strata-titled development (borrower counsel).
  
• $50,000,000 radio and telecommunications industry financing (lender counsel).
  
• $75,000,000 construction facility with respect to various resort properties across Canada (lender counsel).
  
• Liquidation on behalf of lender of failed two city block land assembly in downtown Vancouver, B.C.
  
• Financing transactions for lenders and borrowers in respect of junior mining projects in Mexico, Chile, Nicaragua, the Yukon, Manitoba, British Columbia, Saskatchewan, Ontario, Côte d'Ivoire and Burkina Faso.
  
• Lender counsel in connection with the development or acquisition of two hotels in Victoria, B.C. and three major hotels in Vancouver, B.C., ranging from $20,000,000 to $40,000,000 each.
  
• Lender counsel in connection with the development or acquisition of numerous office complexes, including one in which the lender provided a multi currency facility in the amount of $90,000,000 to a off-shore trust in the British Virgin Islands in order to acquire a major downtown office tower. Another significant loan was a $40,000,000 facility utilized to construct an office building and a major retail complex on a long-term leasehold basis.
  
• Lenders counsel in connection with either the acquisition or development of numerous real estate projects, such as apartments, strata titled housing complexes, industrial complexes, and retail mall complexes.
  
• Acted for a lender which provided financing on a revolving basis for the construction and leasing of a major recreational facility including ice hockey, swimming, bowling and gymnasium facilities along with a major movie complex.
