Registration

To take full advantage of intellectual property in Canada and internationally, it is often necessary to secure registration with appropriate government offices. We assist in obtaining patent, copyright, trade-mark, industrial design and integrated circuit topography registrations.

Contracts

We assist in contractual matters related to the commercialization of intellectual property including:

  • technology transfer or sharing agreements
  • license agreements
  • franchise agreements
  • purchase and sale of businesses involving intellectual property assets; and
  • employment and non-competition agreements

Audits

We perform intellectual property audits, including web site audits, which involve taking inventory of a business's intellectual property, detecting weaknesses and advising on strategies to properly protect and exploit intellectual property.

Financing

We assist clients who are obtaining financing by private or public means on the basis of their intellectual property and other more traditional assets.

Enforcement

Where a third party violates intellectual property rights, we assist clients to quickly and effectively obtain a favourable resolution using both the traditional court system and other alternative dispute resolution methods.

New Technologies

As new technologies arise, existing legal concepts must be analyzed for applicability and in some cases reshaped to ensure protection of rights for offensive and defensive purposes. We assist our clients with issues arising out of new technological challenges provided by such things as the Internet and Electronic Commerce.

My customer is a large North American company that wants to license my company’s custom developed software application as part of their mission critical inventory control system. At this point, the customer is insisting that the license agreement include an indemnity by my company against any losses arising from any claim that the software infringes any third party’s intellectual property rights (IPRs). Is the scope of this provision too onerous?
