Virgil Hlus is a partner of the firm, Chair of the Mining and Mergers & Acquisitions Groups and Co-Chair of the Corporate Finance & Securities Group. He has a varied practice, focusing on cross-border and international corporate finance, securities and transactional matters, with a particular emphasis on mining and technology.

Virgil has extensive experience serving companies listed on the Toronto Stock Exchange, TSX Venture Exchange, CNSX, NYSE/AMEX and NASDAQ. He provides strategic advice to a variety of public and private companies pertaining to acquisitions, mergers, reorganizations, takeovers and reverse takeovers, qualifying transactions, initial public offerings, prospectus offerings, and exchange listings. Virgil also advises on plans of arrangement, tax driven spin-offs and financings, including cross-border financings, debt offerings and exchangeable preferred share transactions.

He advises clients on corporate governance related matters, including regulatory compliance, corporate governance policies, fiduciary duties and shareholder rights plans. Virgil has served as special counsel to independent committees advising on responses to hostile takeover bids and other transactions.

Virgil provides his mining clients with expertise pertaining to various mining agreements, including joint venture agreements, property option agreements, royalty agreements, earn-in agreements and property purchase and disposition agreements relating to properties located in North America and internationally, including in South America, Africa, Russia, Asia and Europe.

As a member of the California Bar, Virgil has extensive experience advising clients with respect to cross-border transactions, U.S. exchange listings and transactions, and U.S. regulatory compliance.

Virgil obtained his Bachelor of Commerce degree from the University of Alberta in 1990 and his Bachelor of Laws degree from the University of British Columbia in 1994. He was called to the British Columbia Bar in May 1995 and to the California State Bar in November 1999.
