Pratibha Sharma is an associate with the firm's Corporate & Commercial, Private Company Transactions, and Labour & Employment Groups.

Pratibha assists clients with their ongoing corporate and commercial needs. Her practice includes acting for buyers and sellers across a variety of industries on acquisitions and sales of private businesses, assisting with incorporations, corporate structuring, restructuring and reorganizations, and drafting various contracts such as shareholders agreements, service agreements, and confidentiality and non-disclosure agreements. She also advises clients with employment-based immigration needs and employment issues arising from the purchase and sale of businesses, including offers of employment, terminations, confidentiality, non-solicitation, and non-competition clauses and workplace policies.

Following her first year of law school, Pratibha worked as a Review Officer in the Review Division of WorkSafeBC. In her capacity as a Review Officer, Pratibha conducted reviews of various Board decisions, including compensation, termination and relief of cost decisions initiated by both workers and employers.

Pratibha obtained a Bachelor of Arts degree in 2003 from Simon Fraser University, with a major in Criminology and a minor in Business Administration, and a Bachelor of Laws degree in 2007 from the University of British Columbia. She was called to the Bar of British Columbia in May 2008.

Acting for buyers and sellers of businesses across a variety of industries on business acquisitions and dispositions, structured as share purchase/sale transactions or asset purchase/sale transactions.

Acting for corporations and business owners on incorporations, corporate structuring, reorganizations, restructuring and amalgamations.

Drafting and advising on a variety of agreements including shareholders agreements, subscription agreements, confidentiality and non-disclosure, non-competition/solicitation agreements.

Assisting with corporate and commercial aspects of tax driven transactions.

Researching and advising on governance issues of public institutions.

Conducting due diligence in relation to Canadian and US corporate entities.

Labour & Employment

Advising on labour and employment issues arising from the purchase and sale of businesses, including terminations/offers of employment during the course of a business acquisition/disposition and post-employment duties of confidentiality, non-competition, non-solicitation and fiduciary obligations.

Advising on, preparing and reviewing consulting (independent contractor) agreements and employment agreements (for executives or management level employees and non-executive/non-management employees).

Advising on employment-based immigration options.

Assisting with the preparation of workplace policies.
