Representative Work Mr. Sihota assists owners of private businesses transition their family-owned and privately held businesses to children, employees, management or to unrelated third parties through sale of the business and has developed resources specifically for this purpose. He also assists management, employees, children or unrelated third parties purchase or acquire privately owned businesses by way of share purchase or asset purchase transactions. Mr. Sihota works extensively with owners of privately held businesses and purchasers to help protect them through this process, including the negotiation of commercial agreements, including letters of intent, standstill agreements, deposit agreements, confidentiality agreements, business brokerage agreements, purchase and sale agreements and escrow agreements. Recognizing the increasing number of business owners needing assistance with Business Succession Planning, Mr. Sihota lectures frequently on this subject. Mr. Sihota has clients ranging from start-up enterprises to large corporations and represents these clients on a variety of issues including Mergers and Acquisitions (M&A), Business Succession Planning, sales of businesses, incorporation of new businesses in Canada, regulatory compliance and other commercial and corporate law issues that they face on a day to day basis. He also acts for Pension Funds and Health and Welfare Funds, advising on fiduciary duties and responsibilities of trustees, negotiation of agreements, drafting plan documentation and general advice on operation of pension plans and health and welfare plans. Profile Mr. Sihota is a partner with Clark Wilson LLP and is a member of the firm’s Business Law Department and Private Company Transactions Practice Group. He has been with the firm since 1987. Mr. Sihota has had articles published in Business in Vancouver, Alberta Oil Magazine and various industry publications and has been quoted by The Vancouver Sun, The Province and other media on the subject of Business Succession Planning and M&A, and he lectures frequently on the subject. He is on the editorial board of the Due Diligence Deskbook, a publication used by lawyers who practice in the M&A field. Mr. Sihota obtained both a Bachelor of Commerce degree (1984) and Bachelor of Laws degree (1985) from the University of British Columbia.
