  • Acting for buyers and sellers of businesses across a variety of industries on business acquisitions and dispositions, structured as share purchase/sale transactions or asset purchase/sale transactions.

  • Acting for corporations and business owners on incorporations, corporate structuring, reorganizations, restructuring and amalgamations.

  • Drafting and advising on a variety of agreements including shareholders agreements, subscription agreements, confidentiality and non-disclosure, non-competition/solicitation agreements.

  • Assisting with corporate and commercial aspects of tax driven transactions.

  • Researching and advising on governance issues of public institutions.

  • Conducting due diligence in relation to Canadian and US corporate entities.

  • Assisting British Columbia societies in matters related to their operation.

Immigration

  • Assisting clients from around the world with all aspects of business immigration and employment-based immigration needs including assisting with applications based on the investor or provincial nominee categories, acquiring temporary permits under NAFTA and the Canadian Immigration and Refugee protection Act or acquiring permanent residence based on the federal skilled worker category.

Labour & Employment

  • Advising on labour and employment issues arising from the purchase and sale of businesses, including terminations/offers of employment during the course of a business acquisition/disposition and post-employment duties of confidentiality, non-competition, non-solicitation and fiduciary obligations.

  • Advising on, preparing and reviewing consulting (independent contractor) agreements and employment agreements (for executives or management level employees and non-executive/non-management employees).

  • Assisting with the preparation of workplace policies.

  • Advising on workers compensation issues.

Profile

Pratibha Sharma is an associate with Clark Wilson LLP's Business Law Practice Group.

Pratibha obtained a Bachelor of Arts degree in 2003 from Simon Fraser University, with a major in Criminology and a minor in Business Administration, and a Bachelor of Laws degree in 2007 from the University of British Columbia.

While studying law at the University of British Columbia, Pratibha was the recipient of course prizes for academic achievement in Contract Law and Legal Writing as well as the University of British Columbia/Canadian Bar Association Financial Services Law Student Achievement Award. Pratibha also represented the University of British Columbia in the International Competition in Online Dispute Resolution, an international mooting competition involving law school teams from around the world. Pratibha and her UBC advocacy team won a silver medal.

Following her first year of law school, Pratibha worked as a student Review Officer in the Review Division of WorkSafeBC (formerly, the Workers' Compensation Board of British Columbia). In her capacity as a student Review Officer, Pratibha conducted reviews of various Board decisions, including reviews of compensation, termination and relief of cost decisions initiated by both workers and employers.

Pratibha was employed as a summer articling student at Clark Wilson LLP following her second year of law school in 2006 and returned for her full articles in May 2007. Pratibha was called to the Bar of British Columbia in May 2008, when she joined Clark Wilson LLP as an associate.
