Corporate Finance / Securities. Representative Work Stewart has a broad range of experience in the corporate finance and securities areas, having been involved in numerous corporate acquisitions, divestitures, reorganizations and going private transactions. He has also been involved in numerous public and private offerings and other financings (including exempt, registered, Rule 144A, Regulation S and initial public offerings), having acted for both issuers and investment bankers. Stewart has also provided strategic advice on both proxy contests and hostile and negotiated takeover bids. He is experienced in cross-border offerings and acquisitions and is well versed in regulatory compliance issues, including corporate governance matters, which arise in Canada and the United States under the regulatory framework of the Toronto Stock Exchange, the TSX Venture Exchange, NASDAQ, the Provinces of Canada, the Securities Act of 1933, the Securities Exchange Act of 1934 and the Sarbanes-Oxley Act of 2002. Stewart received a B.A. in 1986 from Simon Fraser University and an LL.B. in 1989 from the University of British Columbia.
