About the Virtual General Counsel Offering

  • A Clark Wilson Technology Partner will become a 'virtual' member of your management team, helping you grow your business and execute your business plan.
  • At the outset of our engagement, we will conduct a 'legal review' of your operations at no additional charge in order to identify and prioritize the legal issues facing your business.
  • The results of our legal review will form the basis of our plan to address your legal issues.
  • No long term commitment under the VGC – your arrangement with us is month-to-month. We will meet with you quarterly to discuss our relationship and to ensure that our advice and service level meets your ongoing requirements.
  • Retainer packages start at CDN$2,500 per month (plus applicable taxes and disbursements).
  • The basic retainer package entitles you to request up to 10 hours of legal and business advice from a Clark Wilson Technology Partner via e-mails and telephone calls with your management team members, together with participation in Board of Director and/or management meetings each month. This represents a significant savings to you when compared to the cost of receiving this advice under a traditional 'hourly rate' billing model.
  • All retainer packages include specific value-added components, such as introductions to funding sources and connections to business resources (e.g., leadership coaching, corporate governance, etc.).
  • Legal projects arising out of advice provided as part of our retainer package (e.g., financings or other commercial transactions) will be billed by the hour or quoted on a fee estimate or fixed fee basis, depending on the nature of the work. Budgets will be prepared on a case-by-case basis. We will leverage our extensive experience and document portfolio to provide these services in a timely and cost effective manner.
  • A future component of the Virtual General Counsel package will include a subscription-based web portal with additional content and services.
