General Corporate and Securities

We represent emerging growth companies through every stage of their lifecycle, providing ongoing operational counsel as well as transactional services. Our client service teams have a detailed understanding of each client's business and markets and are assembled to provide cost-effective and relevant legal advice with an unparalleled degree of responsiveness.

Mergers and Acquisitions

We have extensive experience in structuring and completing complex M&A transactions for private and public emerging growth companies. We work with our clients to develop transaction-specific teams to structure and manage M&A deals from the preliminary stages through to the due diligence phase and on to closing. Our teams typically consist of leading practitioners from our M&A, Technology, Intellectual Property, Corporate Finance & Securities, Tax and Labour & Employment groups.

Venture Capital and Private Equity Financing

Our relationships with members of the local, national, and US venture capital community enable us to provide targeted referrals for our clients. We also assist our clients in negotiating and completing financing transactions that provide them with the financial fuel to grow their ideas and expand their businesses.

Intellectual Property

We work with our clients to develop and implement strategies designed to maximize their intellectual property on both the strategic and transactional levels. We assist in obtaining patent, copyright, trade-mark, industrial design and integrated circuit topography registrations, as well as provide support with the commercialization of those rights, including the negotiation of development, license and distribution arrangements.

Tax

We draw on the vast experience of our Taxation Group to create and implement efficient tax plans to address issues relating to business ownership, operations and acquisitions. We also work with entrepreneurs and technology companies to create effective "cross-border" tax planning strategies, for both Canadian residents investing abroad and non-residents investing in Canada.

Labour & Employment

In tandem with our Labour & Employment Group, we help our clients design, implement and refine effective compensation structures and equity incentive plans that meet the unique needs of their businesses and the technology industry in general.

Immigration

We work with our Immigration Group to assist entrepreneurs and companies with a need to transition personnel and business operations across international borders. We assist with processing permanent and temporary business visas under GATS, the Immigration and Refugee Protection Act (Canada) and various NAFTA categories such as business visitors, professionals, and intra-company transferees. We also offer advice and assistance in obtaining Canadian permanent resident status and citizenship as a result of or incidental to obtaining a temporary work permit and in processing visas under the various U.S. permanent immigrant and temporary non-immigrant categories.
