Don is a seasoned M&A lawyer having worked on transactions totaling approximately two thirds of a billion dollars of value to date. Don has successfully represented a very large number of business owners over a broad range of industries giving him an incredible depth of experience in M&A transactions. This depth of experience allows Don to be a true champion for our clients, providing sophisticated legal advice, anticipating and avoiding challenges and protecting clients from the pitfalls inherent in complex and sophisticated business sale and purchase transactions. But Don’s work does not stop there. In addition to M&A transactions, Don assists our clients with shareholder disputes, corporate reorganizations and general corporate matters.

Our clients regard Don highly for his expertise, responsiveness, and ability to explain complex legal issues in a clear and comprehensive manner, enabling them to make the best decisions possible based on grounded and timely advice. Don establishes key business strategies in advance of negotiations and advocates for those positions powerfully to accomplish our clients’ goals.

While Don routinely acts in the purchase and sale of some of the largest companies in British Columbia, his experience and expertise is accessible, whether a business is worth $100M or under $2M. Don’s role depends on the nature of the transaction and the budget. For larger and more complex matters, Don’s role will be very hands-on. For other transactions, Don will provide comprehensive conceptual oversight and lead the negotiating strategy, but day-to-day management and document drafting can be handled by lawyers at the appropriate level of experience under Don’s supervision, ensuring a cost-effective result. By choosing Don for the M&A transaction, our clients will receive high-quality legal services regardless of transaction size.

Don’s education (having a double degree, one in business and one in law) allows him to apply his knowledge of business and law for the benefit of our clients. Furthermore, having been involved in a successful business himself, Don understands the business owner’s mindset and fully appreciates the demands of managing and growing a company. From business start-up to business succession, Don employs legal strategies that help our clients succeed in business, while minimizing business risk.

“We can’t imagine a more professional team. We were very appreciative of the stellar work that Don Sihota and his “dream team” provided for us throughout this difficult process. Andrew and Linda McLean

“Don showed us the risks we didn’t see. Don has been our lawyer during a very exciting period for us as we explored options for growing our family business and taking it to the next level. We were approached with a few offers that looked good, but Don showed us the risks we didn’t see. Don has always been there for us, providing advice and ensuring we are safe. Ultimately, we completed a very successful transaction and with Don’s oversight, it couldn’t have ended better for us. We highly recommend Don and his team."

Angela & Charles Holmes, Hempco Canada Superfoods Inc.

“Don was the right choice. We built a family business over many years and when we decided to sell, we wanted a lawyer who understood the magnitude of this decision. Don was the right choice. He gave us insight into the legal implications of selling our family business but in a practical context, and always took the time to explain things clearly so we understood what was at stake. Don always promptly returned my calls and answered my questions. This wasn’t just any transaction to Don, it was as important to him as it was to us. Don ensured we were well protected when we sold the business we spent our lives building."

A. Quan

“It was great having Don on our side. After obtaining several recommendations, we engaged Don to help us acquire a vendor. The acquisition was under very tight time constraints, but Don and his team helped us steer the transaction through to completion in only 30 days. Since we didn’t have a lot of experience, it was great having somebody as knowledgeable as Don on our side, ensuring all the bases were covered. This became crystal clear when Don’s agreement protected us from a claim that arose after the deal closed. We would definitely recommend Don and his team and we look forward to working with him again."

Chris & Kevin Young, Woodtone, Chilliwack

"We can’t speak highly enough of Don and his team. Thanks to Don’s guidance and intervention, we went from a minority shareholder to 100% ownership of our company. We continue to work with Don for our ongoing legal needs and would highly recommend him to any business owner seeking legal representation."

Stephen and Tammy Arnold, Applied Plastics Technology Inc., Langley, BC

Don’s legal knowledge and attention to detail, combined with his deep understanding of strategy and tactical negotiating skills make him a highly effective M&A lawyer."
